Work for Hire: Sondra Hoffman is acting as an independent contractor and not an employee. Work under any agreement is not a joint venture and is exclusively a contract for service. The client is not responsible for paying or contributing to any employee-related benefits or reporting requirements.

Scope of Work: The scope of work for each project will be outlined and agreed upon in writing by both parties before work begins. Any changes or additions to the scope of work must be agreed upon in writing by both parties. 

Timelines: Sondra Hoffman will make every effort to complete the project within the agreed upon timeline. However, unforeseen circumstances may arise that could cause delays. In the event of a delay, Sondra Hoffman will communicate with the client and provide an updated timeline for completion. 

Intellectual Property and Related Material:  All intellectual property and related material that is developed or produced under an agreement is work for hire and will be retained by the client.

• Measures Sondra Hoffman takes to ensure originality of work include

  • Conducting thorough research to ensure originality of content

  • Properly citing any sources used in the project

  • Using plagiarism detection or similarity software to check for any potential issues

Revisions and Corrections: Sondra Hoffman will provide the client with a reasonable number of revisions and corrections to the project as outlined in the scope of work. Additional revisions or corrections may be subject to additional fees. 

Communication: Sondra Hoffman will communicate with the client through the agreed upon method of communication (email, phone, etc.) and will respond in a timely manner. The client agrees to provide all necessary information and materials in a timely manner to ensure the project stays on schedule. 

Quality Assurance: Quality Work is defined as work that meets the agreed-upon scope of work and is free from errors and omissions. Sondra Hoffman takes pride in delivering high-quality work and will make every effort to ensure the project meets the client’s expectations. If the client is not satisfied with the work, Sondra Hoffman will make reasonable efforts to address any concerns and make necessary revisions. 

Payment: Payment for services is due upon completion of the project milestones, unless otherwise agreed upon in writing. Delinquent payments may be subject to a late fee of 10%. In the event of non-payment, Sondra Hoffman reserves the right to withhold all work until payment is received.

Confidentiality and Non-Disclosure: Sondra Hoffman agrees to keep all client information confidential and will not disclose any information to third parties without written consent from the client except as required by law. This includes but is not limited to project details, business plans, financial information, and any other sensitive information. 

Changes and Revisions: Any changes or revisions to the project scope must be agreed upon in writing by both parties. Additional fees may apply for changes or revisions requested after the project has been completed. 

Termination: Either party may terminate this agreement at any time with written notice. In the event of termination, the client will be responsible for payment for all services rendered up to the date of termination. 

Liability: Sondra Hoffman will not be liable for any damages or losses incurred by the client because of the services provided. The client agrees to indemnify and hold Sondra Hoffman harmless from all claims, liabilities, damages, and expenses arising from the services provided.

Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any choice of law or conflict of law provisions. 

Acceptance: By hiring Sondra Hoffman for services, the client agrees to all terms and conditions outlined in this agreement.
